What is the Scheme of Control Agreement?
The Scheme of Control Agreement is an agreement entered into between The Government of the Hong Kong Special Administrative Region and The Hongkong Electric Company, Limited and Power Assets Holdings Limited. It governs the financial affairs of the electricity-related activities of The Hongkong Electric Company, Limited. You may refer to Scheme of Control Agreement section on HK Electric's website for further information.
Is there any arrangement for free exchange of share certificates bearing the former name of Power Assets for share certificates bearing the new name?
There is no arrangement for free exchange of share certificates. All existing share certificates bearing the former name of the Company continue to be evidence of legal title to the Company's shares and valid for trading, settlement, registration and delivery purposes. Please refer to our announcement dated 17th February 2011 in the Notices, Announcements & Circulars section for details.
Shareholders wishing to have their share certificates re-issued under the new name of the Company should contact Computershare Hong Kong Investor Services Limited, the Company's share registrar. Computershare's contact information can be found in the Share Registrar Information section.
Can a shareholder request for inclusion of a resolution in the annual general meeting?
Please refer to and follow the requirements and procedures set out in section 115A of the Companies Ordinance. Shareholder(s) qualified under sub-section (2) of the said Ordinance may request for inclusion of resolutions in an annual general meeting or for circulating to all shareholders statements with respect to any proposed resolution to be dealt with at a general meeting. The requisition should be signed by the requisitionists and deposited at the registered office of the Company in accordance with the statutory provisions. Please address the requisition to the Company Secretary.
Can a shareholder requisition for the convening of an extraordinary general meeting?
Pursuant to section 113 of the Companies Ordinance, shareholder(s) holding not less than one-twentieth of the paid-up share capital of the Company may requisition for the convening of an extraordinary general meeting. The requisition stating the objects of the meeting should be signed by the requisitionists and deposited at the registered office of the Company. Please address the requisition to the Company Secretary.
How can a shareholder propose a person other than a retiring director for election as a director?
Pursuant to article 120 of the Company’s articles of association, if a shareholder wishes to propose a person other than a retiring director of the Company for election as a director of the Company at any general meeting, he and that person proposed by him should have each, during a period of seven days ending on the date seven days before the date appointed for the meeting, left at the registered office of the Company a notice in writing duly signed, signifying respectively his intention to propose that person as a director and that person’s consent to the nomination for the office. The biographical details of the proposed candidate as required under Rule 13.51(2) of the Listing Rules should also be provided at the same time to the Company for publication purpose. Please address all papers to the Company Secretary.

Power Assets Investments Limited, formerly Hongkong Electric International Limited established in 1997, is responsible for making investments outside Hong Kong for Power Assets.
What are the targets for investments outside Hong Kong?
While our core business covers power generation, transmission and distribution, we also focus our business development on other energy-related investments such as gas distribution and renewable energy. Currently we are focusing on countries and in segments which offer stable return at acceptable level of risk.
What were the projects invested by Power Assets?
Power Assets has a portfolio of 12 investments over six countries in four continents, representing interests in 6,800MW of power generating plants and 400,000km of electricity and gas networks.
Our investment in Europe includes UK Power Networks Holdings Limited, Northern Gas Network Limited and Seabank Power Limited in the UK.
In Australia and New Zealand, we have stakes in four power distribution companies, namely ETSA Utilities, Powercor Australia, CitiPower and Wellington Electricity Lines Limited.
In North America, we have shareholdings in Stanley Power which has stakes in six Canadian generating plants.
